About the project:
We are an IT services and outsourcing company providing software development solutions for clients across the US and Europe. We are currently looking for a detail-oriented and experienced Legal Counsel (IT Legal Specialist) to handle the full legal support lifecycle of our operations: from client contracts to managing relationships with contractors and specialists.
A new team member will be in charge of:
Own the full cycle of international client contracts — draft, redline, and negotiate MSAs, SOWs, NDAs, and SLAs with US and EU counterparts, and drive disputed terms to resolution.
Prepare Intellectual Property Assignment Agreements (IP Assignment), NDAs, Non-Compete Agreements (NCA), and Non-Solicitation Agreements (NSA) for company team members.
Serve as the go-to legal advisor for Sales and Management on contract risk, deal structure, and international commercial law questions.
Ensure data protection compliance (GDPR, CCPA) is embedded in contracts and operational processes — not treated as an afterthought.
Keep a clean, centralized contract registry so nothing falls through the cracks at renewal or dispute time.
Does this relate to you?
2–3+ years as a Legal Counsel or In-House Lawyer in the IT industry, with direct experience in IT services or outsourcing.
Solid, hands-on command of US/EU B2B contract structures — you’ve drafted and redlined MSAs, SOWs, NDAs, and SLAs, not just reviewed them.
Strong grasp of IP assignment and Independent Contractor engagement models — you know the difference between a contractor and an employee, and why it matters.
You can navigate a redlining deadlock with a client’s legal team and keep the deal moving — without giving away the store.
Working knowledge of GDPR fundamentals and at least a baseline understanding of CCPA requirements as they apply to contracts and data flows.
Upper-Intermediate English or above — you’re comfortable drafting contracts, negotiating terms, and corresponding directly with international clients in English.
Master’s or Bachelor’s degree in Law (International, Commercial, or Civil Law preferred).
Experience preparing GDPR documentation — Data Protection Impact Assessments, Data Processing Agreements, Privacy Notices — and relevant certifications (CIPP/E, CIPM) are a strong plus.
Hands-on experience using AI tools (ChatGPT, Claude, Copilot) to accelerate legal drafting, contract redlining, and research. Requires strong critical review skills to audit AI outputs for US/EU legal accuracy while strictly ensuring client data privacy and confidentiality.
