We are looking for a Senior Corporate Legal Specialist to join our PSP Department and independently own the corporate and legal documentation function within our international business structure.
This role is highly autonomous and involves direct cooperation with Compliance, Finance, auditors, accountants, tax advisers and external legal / corporate service providers.
You will work hands-on with Cyprus corporate structures, corporate documentation, contracts, audit support and Cyprus VAT-related matters, as well as cross-border counterparties and international business structures.
What you’ll do:
preparing a complete legal documentation package for each company’s annual audit;
maintaining and updating corporate documentation, including constitutional documents, certificates, registers, resolutions, powers of attorney, and information on directors, shareholders, and UBOs;
Ppoviding comprehensive legal support to companies across multiple jurisdictions, including incorporation and corporate administration through external service providers, as well as drafting and reviewing agreements, invoices, service acceptance certificates, and supporting materials required for the proper documentation of business transactions;
preparing legal explanations in response to requests from auditors, accountants, and tax advisers;
establishing a legally and documentarily consistent framework for relationships with existing counterparties, taking into account the actual partnership model, financial flows, and Cyprus VAT requirements, including the application of the reverse charge mechanism.
What we’re looking for:
3+ years of experience in corporate law, corporate administration, legal operations or a similar role;
hands-on experience with Cyprus companies;
pactical knowledge of Cyprus corporate law;
experience supporting annual audits and audit documentation;
practical knowledge of Cyprus VAT, VIES and reverse charge;
experience working with corporate registers, resolutions, powers of attorney, UBO/shareholder documentation and other corporate records;
experience preparing and reviewing commercial agreements and supporting documents;
strong written English;
high level of ownership, attention to detail and ability to work independently;
ability to understand the actual business relationship behind the documents and build the appropriate legal and documentary framework around it;
ability to communicate effectively with Finance, Compliance, auditors, accountants, tax advisers and external corporate service providers.
Will be a plus:
experience working with international groups and cross-border business structures;
experience in fintech, PSP, EMI, VASP or other regulated / financial services businesses;
experience working with international corporate service providers;
experience handling multiple Cyprus entities simultaneously;
understanding of international corporate and compliance processes.
